These Terms of Service (“Terms”) govern your access to and use of all services provided by The VoIP Pros (“Company,” “we,” “us,” or “our”), a limited liability company. By engaging our services, signing a service agreement, or using any Company platform, you (“Client” or “you”) agree to be bound by these Terms. If you do not agree, do not use our services.
- “Services” — VoIP phone services and SMS/MMS communications provided by The VoIP Pros.
- “Client” — Any individual or business entity that engages The VoIP Pros for Services.
- “Agreement” — These Terms together with any signed Service Order, Statement of Work, or Proposal.
- “Confidential Information” — Any non-public information disclosed by either party in connection with the Services.
The VoIP Pros provides Voice over Internet Protocol (VoIP) telephone services as its core offering.
2.1 Service Description
VoIP services may include provisioning of virtual phone numbers, call routing, voicemail, call forwarding, and unified communications features. Services are delivered over internet infrastructure and are subject to network conditions.

2.3 Regulatory Compliance
- Client must comply with all applicable FCC regulations, TCPA requirements, and state telecom laws in connection with use of VoIP services.
- Clients must not use VoIP services for robocalling, auto-dialing, harassment, fraudulent, or illegal purposes.
- Number porting and DID (Direct Inward Dial) assignments are subject to carrier availability and regulatory approval.
2.4 Service Availability
VoIP services depend on internet connectivity and third-party carrier infrastructure. The VoIP Pros does not guarantee 100% uptime and is not liable for outages caused by internet service disruptions, carrier failures, force majeure events, or circumstances outside our reasonable control.
2.5 Number Ownership
Virtual phone numbers assigned to Client remain the property of the underlying carrier and are licensed, not sold, to Client. Upon termination, numbers may be reclaimed by the carrier unless ported prior to service end.
The VoIP Pros may communicate with Clients and, on behalf of Clients, with end-users via SMS and MMS messaging. All SMS/MMS activity is governed by the Telephone Consumer Protection Act (TCPA), FCC regulations, and CTIA Messaging Principles and Best Practices.
3.1 Consent & Opt-In
By providing a mobile telephone number and consenting to receive text messages from The VoIP Pros, you expressly agree to receive SMS/MMS messages related to our services, including service updates, appointment reminders, operational notifications, and support communications.
3.2 Message Types
- Transactional/Operational: Service confirmations, account notifications, appointment reminders, billing alerts, and support follow-ups.
- Customer Care: Responses to inbound inquiries initiated by you.
- Service Updates: Notifications about changes to services, scheduled maintenance, or policy updates.
The VoIP Pros does not send unsolicited marketing or promotional SMS messages without separate, affirmative marketing consent.
3.3 How to Opt Out
You may opt out of SMS/MMS communications at any time by replying with any of the following keywords:

3.5 10DLC Registration & Carrier Compliance
All A2P (Application-to-Person) SMS/MMS messages sent by The VoIP Pros are transmitted through registered 10-Digit Long Code (10DLC) campaigns in accordance with carrier requirements and The Campaign Registry (TCR) standards. Message delivery is subject to carrier filtering and network conditions.
3.6 Data & Privacy
Mobile opt-in data and consent records are maintained securely and are not sold, transferred, or shared with third parties for their own marketing purposes. SMS consent is separate from and does not affect email or other communication preferences.
4.1 Fees for Services are set forth in the applicable Service Order or Proposal. All fees are in U.S. Dollars unless otherwise stated.
4.2 Invoices are due upon receipt or as specified in the Service Order. Overdue balances accrue interest at 1.5% per month (or the maximum permitted by law, whichever is less).
4.3 The VoIP Pros reserves the right to suspend Services for non-payment after reasonable notice.
4.4 Refunds are issued at the Company’s sole discretion and only for services not yet rendered. Fees for completed work are non-refundable.
Each party agrees to hold the other’s Confidential Information in strict confidence, use it only for purposes of performing or receiving Services, and not disclose it to third parties without prior written consent. This obligation survives termination of the Agreement for a period of three (3) years.
Unless otherwise agreed in writing, work product created by The VoIP Pros specifically for Client and fully paid for becomes Client’s property upon final payment. Pre-existing IP, tools, templates, and methodologies of The VoIP Pros remain the exclusive property of the Company.
The Company’s total aggregate liability to Client for any claims arising under these Terms shall not exceed the fees paid by Client to Company in the three (3) months preceding the claim.
Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Client agrees to indemnify, defend, and hold harmless The VoIP Pros and its members, managers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) Client’s breach of these Terms; (b) Client’s use of the Services in violation of applicable law; (c) Client’s instructions or content that infringe third-party rights.
9.1 These Terms commence on the date you first engage Services and continue until terminated.
9.2 Either party may terminate Services with written notice as specified in the applicable Service Order (typically 30 days).
9.3 The VoIP Pros may terminate immediately for material breach, non-payment, or use of Services for unlawful purposes.
9.4 Upon termination, all outstanding fees become immediately due. Sections 5, 6, 7, 8, and 11 survive termination.

Governing Law: These Terms are governed by the laws of the state in which The VoIP Pros is registered, without regard to conflict-of-law principles.
Dispute Resolution: Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the AAA Commercial Arbitration Rules.
Amendments: The VoIP Pros may update these Terms at any time. Continued use of Services after notice of changes constitutes acceptance.
Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
Entire Agreement: These Terms, together with any signed Service Orders, constitute the entire agreement between the parties and supersede all prior understandings.
